BitMine Seeks Major Share Authorization Hike for Ethereum-Led Growth

First published 4 January 2026. Rewritten on 13 October 2026 from company filings and news reports. This is a news explainer and not investment advice.

When a company asks its shareholders to multiply the number of shares it is allowed to issue by a hundred, people notice. That is what BitMine Immersion Technologies, now best known as a company that holds a large pile of Ether, did at the start of 2026, and its chairman, Tom Lee, spent the first days of January explaining why.

What was being asked

Proposal 2 on the ballot asked stockholders to amend the company’s charter and raise the number of shares it may issue from 500 million to 50 billion. It is an upper limit, not a plan to create shares. At the time, BitMine had about 426 million shares outstanding. “This doesn’t mean we’re issuing 50 billion shares,” Lee said in a video message.

The reasoning

Lee gave three reasons, and splits were the main one. BitMine’s share price has tracked the price of Ether since it pivoted to an Ether treasury in July 2025. If Ether climbed to $22,000, he said, that would imply a share price near $500, and at $62,500 near $1,500. To keep shares affordable for ordinary investors, close to a $25 level, the company would need splits of roughly 20 for 1 or 60 for 1, and a bigger split still at higher prices. But a split multiplies the number of shares, and a company cannot split beyond its authorised limit.

The other two reasons were practical: more room to raise money through at-the-market offerings, convertible notes and warrants, and the flexibility to do acquisitions or other opportunistic deals.

The concern

Some analysts pointed out that authorising far more shares gives management much more room to issue them, and if new shares are sold, existing holders own a smaller slice. Lee argued the change was about flexibility rather than immediate dilution. Both things can be true: the proposal is not an issue of shares, but it removes a ceiling that would otherwise limit one.

The result

Voting closed on 14 January and the annual meeting took place at the Wynn Las Vegas on 15 January. In a filing with the US Securities and Exchange Commission, BitMine reported that stockholders approved the amendment, raising the authorised total to 50 billion shares.

What readers should take from it

Companies that hold crypto on their balance sheet behave differently from the coins themselves. Their share price depends on the coin’s price, but also on how much stock the company sells, on debt and on management choices.
